Searchalytics Lead Management Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully before using the Searchalytics: Lead Management platform (“Searchalytics: Lead Management” or the “Service”). By accessing or using Searchalytics: Lead Management, you agree to be bound by these Terms on behalf of the business you represent. If you do not agree with any part of these Terms, you must not use the Service.

1. User Eligibility & Access

  • Business Use: Searchalytics: Lead Management is intended for use by businesses in the United States and their authorized employees or agents. By registering for the Service, you represent that you are doing so on behalf of a company or business entity. You must have the authority to bind that business to these Terms.
  • Age Requirement: You must be at least 18 years old (or the age of majority in your state) to use Searchalytics: Lead Management. By using the Service, you confirm that you meet this age requirement.
  • Account Access: Only you and your authorized personnel may access your Searchalytics: Lead Management account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to ensure that all employees or agents using the platform on your behalf comply with these Terms. If you become aware of any unauthorized access to your account, you must notify Searchalytics immediately.
  • Accurate Information: You agree to provide true, accurate, and current information when creating an account and using the Service. If your information changes (for example, your business address or contact information), you agree to update your account promptly. Misrepresentation of your identity or affiliation is a violation of these Terms.

2. Payment & Refund Policy

  • Subscription Fees: Searchalytics: Lead Management is a paid subscription service. By signing up, you agree to pay the subscription fees as presented to you at the time of purchase (the price may vary based on the plan or features you select). All fees are in U.S. dollars and are subject to applicable taxes. Payment is due in advance of each subscription term (e.g., monthly or annually, depending on your plan) unless otherwise agreed.
  • Billing & Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel beforehand. You authorize Searchalytics to charge your provided payment method for the recurring subscription fees on each renewal date. If we are unable to process your payment (for example, due to an expired credit card or insufficient funds), we will notify you, and we may suspend your account until payment is received. You are responsible for keeping your billing information current and correct.
  • 30-Day Cancellation Policy (Refund Guarantee): We want you to be satisfied with Searchalytics: Lead Management. If you are a new subscriber, you may cancel your subscription within the first 30 days of initial purchase and request a full refund of the subscription fees paid. To cancel under this policy, you must notify us through your account settings or by contacting our support team within the 30-day window. Upon timely cancellation, we will process your refund to your original payment method. Please note that this 30-day cancellation policy applies only to your first subscription period with Searchalytics: Lead Management (or as otherwise communicated for a trial period) and may not apply to renewals or subsequent subscriptions.
  • Cancellation After 30 Days: If you cancel your subscription after the first 30 days have passed, the cancellation will take effect at the end of your current billing cycle. You will continue to have access to the Service until the end of the period you’ve already paid for, but you will not be charged for the next period. No refunds will be provided for partial use or the remaining days in your billing cycle after the first 30 days, except where required by law. For example, if you are on a monthly plan and cancel on day 40, you will retain access until the end of that month and not be billed for the next month.
  • Changes to Fees: Searchalytics reserves the right to change the subscription fees or introduce new charges with prior notice. If the price of your plan changes, we will notify you in advance (for example, by email or via the Service dashboard). If you do not agree to the new fees, you may cancel your subscription before the change takes effect. Continued use of the Service after the fee change becomes effective constitutes your agreement to pay the new amount.
  • Refunds: Except for the 30-day cancellation refund described above or as required by law, all payments are non-refundable. Partial refunds, pro-rated refunds, or credits for unused time will not be provided when you cancel after 30 days, including for any unused features or failure to use the Service during your subscription period.
  • Late Payments: If your payment is past due, we reserve the right to suspend or terminate your access to Searchalytics: Lead Management, as described in the Termination section below. You may also be responsible for any costs associated with collecting overdue payments (such as collection agency fees or reasonable attorneys’ fees) if your account remains delinquent.

3. Compliance & Data Protection

  • Compliance with Laws: Both you and Searchalytics agree to comply with all applicable laws and regulations in connection with the use of Searchalytics: Lead Management. This includes, without limitation, applicable U.S. privacy and data protection laws. If you are collecting, storing, or managing personal information using the CRM, you are responsible for doing so in compliance with laws such as the California Consumer Privacy Act (CCPA) and any other state privacy laws that apply. If you have users or customers in the European Union, United Kingdom, or other regions with data protection laws, you may also be subject to the General Data Protection Regulation (GDPR) or similar regulations, and you agree to comply with those laws as well.
  • Data Privacy & GDPR: Searchalytics: Lead Management is designed with data privacy in mind. We will only access, use, or process the data you store in the CRM to provide the Service, to support you, or as otherwise required by law. We will not sell your personal data or the data of your customers. If GDPR applies to some of the data you input (for example, personal data of individuals in the EU), then as between you and Searchalytics, you are the “data controller” and Searchalytics is a “data processor.” We will process such data only on your instructions (which include actions you take within the Service) and will assist you in honoring any data subject rights requests (such as access or deletion requests) as required by GDPR. We may provide a separate data processing agreement (DPA) to detail these GDPR commitments if necessary.
  • CCPA Commitments: If your business is subject to CCPA (for instance, if you are a for-profit business handling personal data of California residents and meet the CCPA thresholds), Searchalytics will act as a “service provider” for any personal information you input into Searchalytics: Lead Management. This means we will not retain, use, or disclose that personal information for any purpose other than providing the Service to you and as allowed by the CCPA. We understand the importance of CCPA rights (such as the right of Californians to know, delete, or opt-out), and we will assist you as needed to fulfill any verified consumer requests in accordance with the law.
  • Security Measures: Searchalytics is committed to protecting your data. We implement commercially reasonable security measures (including encryption in transit, access controls, and regular security monitoring) to safeguard the information stored in Searchalytics: Lead Management against unauthorized access, loss, or theft. However, no online service can guarantee 100% security. You are responsible for maintaining the security of your account credentials and for configuring your account settings (such as user permissions) appropriately. We recommend that you use strong passwords and keep them confidential. In the unlikely event of a data breach that affects your personal data or the data you’ve stored, we will notify you as required by applicable law and work with you to promptly address the issue.
  • User Responsibilities: You are responsible for how you use the data and tools provided by Searchalytics: Lead Management. This means you should only upload or store information that you have the legal right to use. If you collect personal information from your customers or other individuals to input into the CRM, you are responsible for providing any necessary notices and obtaining any required consents to use that data. You agree not to use Searchalytics: Lead Management to violate any privacy rights or other rights of individuals. If you integrate the CRM with other services or transfer data out of the platform, you are responsible for ensuring those actions are compliant with relevant laws.
  • Privacy Policy: More details about how Searchalytics collects, uses, and protects personal information can be found in our Privacy Policy (available on our website). That Privacy Policy is incorporated by reference into these Terms. By using the Service, you acknowledge that you have read our Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy regarding personal data handling, the specific guidance in the Privacy Policy will usually govern.

4. Liability & Limitations

  • Service Provided “As Is”: Searchalytics: Lead Management is provided on an “as is” and “as available” basis. While we strive to offer a reliable and high-quality service, we make no guarantees that the CRM will be uninterrupted, error-free, or will meet all of your business’s specific needs. To the fullest extent permitted by law, Searchalytics disclaims all warranties of any kind, whether express or implied. This includes implied warranties of merchantability (that the Service is of a standard quality), fitness for a particular purpose (that the Service will be suitable for your specific needs or use case), and non-infringement (that the Service will not violate rights of others). We do not warrant that any data will be 100% secure or that errors in the software will be corrected immediately, but we do our best to address issues that arise.
  • Limited Liability: To the maximum extent allowed by law, Searchalytics (and its parent company, affiliates, officers, directors, employees, and agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) Searchalytics: Lead Management. This limitation includes, for example, damages for lost profits or revenues, loss of data, business interruption, or any other commercial or financial losses, even if we have been advised of the possibility of such damages. In no event will Searchalytics’ total cumulative liability for all claims related to the Service exceed the amount you have paid to us for your subscription in the twelve (12) months immediately preceding the event that gave rise to the claim. If you have not paid any amount (for example, if you are using a free trial), our total liability is limited to US $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you; in such cases, our liability is limited to the fullest extent permitted by law.
  • No Liability for Certain Issues: Searchalytics is not responsible for any problems or damages that result from (a) your own configuration of the Service or misuse of the Service, (b) third-party services, hardware, or software that you integrate with Searchalytics: Lead Management, or (c) events outside of our reasonable control (for example, internet outages or acts of God). You are solely responsible for maintaining appropriate backup copies of your data outside the Service; while we implement backups and redundancies, we are not liable for any loss of data.
  • User’s Liability & Indemnification: You agree that you use Searchalytics: Lead Management at your own risk. You are responsible for any consequences arising from your use of the platform. You agree to indemnify and hold Searchalytics (and its affiliates and personnel) harmless from any claim, demand, lawsuit, or legal proceeding brought by a third party that arises out of your use of the Service, your violation of these Terms, or your infringement of any rights of another. This means that if a third party (for example, one of your customers) sues Searchalytics because of something you did or data you stored in the CRM, you will defend Searchalytics and pay any damages, losses, or expenses (including reasonable attorneys’ fees) that result from that third-party claim. We will notify you promptly of any such claim and cooperate in your defense, at your expense. Your obligation to indemnify does not apply if the claim is solely caused by our own negligence or willful misconduct.
  • Limitation on Claims: Any claim or cause of action related to your use of Searchalytics: Lead Management or these Terms must be filed within one (1) year after such claim arose; otherwise, it is permanently barred. This limitations period is the maximum permitted by applicable law.

5. Intellectual Property

  • Ownership of the Platform: Searchalytics (or its licensors) retains all rights, title, and interest in and to the Searchalytics: Lead Management platform, including but not limited to the software, code, algorithms, user interface design, workflows, templates, and any Searchalytics logos, trademarks, or branding. These are protected by intellectual property laws and international treaties. Nothing in these Terms transfers any ownership of the Service or its underlying intellectual property to you or your business. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use Searchalytics: Lead Management for your internal business purposes, under the conditions of these Terms. You agree not to copy, modify, distribute, sell, or lease any part of the Service or the software provided, and you agree not to reverse engineer or attempt to extract the source code of the software, unless laws prohibit those restrictions or you have our written permission.
  • Your Data and Content: You (and your business) retain all ownership and intellectual property rights to the data, information, and content you or your users upload or input into Searchalytics: Lead Management. For example, your customer lists, contact information, communications, sales data, files, and any other business data you store in the CRM remain your property. Searchalytics does not claim any ownership over such user-provided content. By using the Service, you grant Searchalytics a permission (a limited license) to host, use, modify (e.g., for formatting or technical processing), and display your data only as necessary to provide the Service and support you. This license is for the sole purpose of enabling us to deliver the CRM functionality and support to you, and it exists only for as long as you upload or store the data in the Service. We will not use your content for any other purposes without your consent.
  • User Content Responsibilities: You are responsible for ensuring that you have all necessary rights to any content or data you input into Searchalytics: Lead Management. By uploading content, you represent that doing so doesn’t violate any laws or anyone else’s rights (for example, intellectual property or privacy rights). We reserve the right to remove or disable access to any content that we believe violates the law or these Terms, but we are not obligated to monitor content on the platform.
  • Custom Features and Developments: If, as part of your use of Searchalytics: Lead Management, Searchalytics develops specific customizations, features, or content for you (for example, custom software code, integrations, templates, or reports tailored to your requests), Searchalytics will retain ownership of those custom developments unless otherwise agreed in writing. We typically grant you a license to use the custom features or content as part of the Service for as long as you have an active subscription. However, you will not own the underlying software/code of any customization we provide. (For example, if we create a custom dashboard for you, you can use it, but you cannot resell it or use the code outside of our Service without permission.) Searchalytics reserves the right to reuse generic know-how, techniques, or features developed in the course of providing custom work, so long as we do not disclose your confidential information.
  • Trademarks and Branding: “Searchalytics” and “Searchalytics: Lead Management” (as well as our logos and any other brand elements) are trademarks or service marks of Searchalytics. Except as permitted within the Service’s white-labeling features, you may not use our name or branding without our prior written consent. As a white-label CRM platform, Searchalytics: Lead Management may allow you to customize certain areas with your own business’s name, logo, and branding for your internal use or presentation to your clients. You represent that you have the rights to any trademarks or logos you upload to the platform, and you grant us permission to display them within the Service as directed by you. This branding feature does not transfer ownership of the platform or any Searchalytics IP to you; it is simply a feature for your convenience.
  • Feedback: We welcome feedback and suggestions on how to improve Searchalytics: Lead Management. If you choose to provide us with any feedback, ideas, or suggestions, you agree that Searchalytics can use them freely without any restriction or compensation to you. Any improvements or features based on your feedback are owned by Searchalytics, but this doesn’t affect your rights to use the Service.

6. Termination & Account Suspension

  • Your Right to Cancel: You may terminate your subscription and cancel your Searchalytics: Lead Management account at any time. Cancellation can be done through your account settings or by contacting our support team. If you cancel, you will continue to have access to the Service until the end of your current paid billing period (unless you request an immediate termination). After that date, your access will be downgraded or closed. If you are eligible for a refund under our 30-day cancellation policy (see Section 2), we will process that refund upon cancellation. Otherwise, no further recurring charges will be made, but previously paid fees are non-refundable (except as required by law).
  • Termination or Suspension by Searchalytics: Searchalytics reserves the right to suspend or terminate your access to the Service under certain circumstances:
    • Violations: If you (or anyone using your account) violate these Terms, misuse the Service, or engage in behavior that, in our reasonable judgment, harms our interests or the experience of other users, we may suspend your account or terminate it. For example, using the CRM to send spam, to store illegal content, or to attempt to hack the platform are grounds for immediate termination.
    • Non-Payment: If you fail to pay the required subscription fees on time and do not cure that payment default within a reasonable period after we’ve provided notice, we may suspend your account access until payment is made or terminate the account for persistent non-payment.
    • Legal Requirement: If we are required by law or a court order to terminate your account, or if providing the Service to you becomes unlawful, we will terminate access. Similarly, if our relationship with a third-party partner or vendor who is essential to our offering ends, and that affects our ability to provide the Service (for example, if a critical software license expires), we may have to terminate your account – in such cases, we will give you as much notice as reasonably possible.
    • Termination for Convenience: We hope to support your business for the long term, but there may be rare cases where Searchalytics decides to discontinue the Service or a particular feature. We reserve the right to terminate the Service (or your account) for any reason by providing at least 30 days’ notice to you. In the event that we terminate your account for convenience and not due to any fault of yours, we will refund any prepaid fees for the remaining portion of your subscription term on a pro-rata basis.
  • Notice and Opportunity to Cure: In most cases (except for serious violations or emergencies), Searchalytics will attempt to notify you of any issue and give you a reasonable opportunity to resolve it before suspending or terminating your account. This might include sending an email to the address on file to alert you of a violation or payment issue. If you promptly cure the violation or issue, we will not terminate your account. However, for serious or repeated violations, immediate action might be necessary.
  • Effect of Termination: When your account is terminated (whether by your cancellation or by our action), your right to access and use Searchalytics: Lead Management will stop. It is your responsibility to export or retrieve any important data from the platform before your access ends. We will retain your data for a limited period after termination (for example, 30 days) in case you need to recover something or if you reactivate your subscription, but we are not obligated to retain your data after that period and will delete or anonymize it in accordance with our data retention policies. Searchalytics is not liable to you for any loss of data or access resulting from the termination of your account, so long as we have adhered to these Terms. If your account was terminated due to a breach of these Terms, you may not create a new account to use the Service without our express permission.
  • Surviving Provisions: Any provisions of these Terms that by their nature should survive termination will survive. This includes sections related to payment obligations (for fees owed up to the date of termination), liability limitations, indemnification, intellectual property rights, and governing law/dispute resolution.

7. Governing Law

  • Compliance with U.S. Law: These Terms are written to comply with the applicable laws and regulations of the United States. We strive to ensure that nothing in these Terms conflicts with your rights under U.S. law. If you are using Searchalytics: Lead Management, you agree to do so in compliance with U.S. laws (and any other laws that apply to you or your data, as noted in the Compliance section above).
  • Governing Law: This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the State of Florida, without regard to its conflict of law principles. If you reside or your business is located in a different state, you agree that Florida law will still govern these Terms and any use of the Service.
  • Jurisdiction and Venue: You agree that any disputes arising under these Terms will be resolved in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of these courts for the purpose of litigating any such dispute. (If you and Searchalytics ever have a dispute, we both agree to try to resolve it informally first. If we can’t, and a lawsuit is filed, Florida is the agreed forum.)
  • Compliance and Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remainder of the Terms will remain in full effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You and Searchalytics agree that any cause of action arising out of or related to the Service must commence within one year after the cause of action accrues, otherwise that cause of action is permanently barred (unless prohibited by law).
  • Entire Agreement: These Terms (along with any Order Form, subscription agreement, or addenda you may have signed, and any documents expressly incorporated by reference like the Privacy Policy) constitute the entire agreement between you and Searchalytics regarding the Service. They supersede all prior understandings or agreements (whether oral or written) relating to the subject matter. Any changes to these Terms must be in writing and agreed by Searchalytics (for example, updated Terms posted to our website, which will be effective upon your continued use of the Service).

By using or continuing to use Searchalytics: Lead Management, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
